TERMS NOTICE

A clear operating agreement.

These Terms of Service apply to your use of geolift.co.in and to services provided by GeoLift unless a separate written agreement, proposal, statement of work or other contract expressly replaces or supplements a provision below. For client engagements, the specific commercial scope agreed between the parties controls where it conflicts with these general terms.

01

Acceptance & eligibility

By accessing this website, submitting an enquiry, or engaging GeoLift for services, you agree to these Terms of Service. You must have the authority to enter into an engagement on behalf of the business or organization you represent.

If you do not agree with these terms, do not use the website or engage the services.

02

Services & scope

GeoLift may provide services including Google Business Profile management, multi-location operations, reputation workflows, monitoring, content operations, automation, reporting, agency fulfillment and related operational support.

The exact deliverables, cadence, locations, responsibilities, fees and exclusions are determined by the applicable proposal, scope, statement of work or written confirmation. GeoLift may decline requests that fall outside the agreed scope or that it reasonably believes conflict with platform rules, law or operational safeguards.

03

Accounts & access

Where service delivery requires access to third-party accounts or platforms, you are responsible for providing appropriate authorization and maintaining the underlying account relationship. GeoLift will use access only for the agreed services and may refuse credentials or permissions that create unnecessary risk.

You should not provide passwords where an official delegated-access method is available. You remain responsible for maintaining accurate ownership, billing and administrator information on third-party platforms.

04

Client responsibilities

You are responsible for providing accurate business information, timely approvals, lawful content, required access and any materials reasonably needed to perform the services. Delays, incomplete information or unavailable access may affect delivery timelines.

You must not instruct GeoLift to publish, submit, alter or automate content or actions that are unlawful, deceptive, abusive, infringing, unsafe or contrary to applicable platform policies.

05

Third-party platforms

GeoLift services may depend on Google and other third-party platforms, tools, APIs, communications providers, analytics services or infrastructure. Those providers control their own systems, availability, policies and terms.

Platform suspensions, verification requirements, review decisions, feature changes, API changes, outages, policy enforcement and ranking changes are outside GeoLift's direct control. We will not represent that a third-party platform will approve or maintain any particular status or feature.

06

Fees & payment

Fees, billing frequency, taxes, payment dates and any minimum commitment are determined by the applicable commercial agreement or proposal. Unless otherwise stated in writing, invoices are payable according to the payment terms shown on the invoice or agreed engagement.

Late or unpaid amounts may result in paused services, delayed delivery or termination after reasonable notice. Third-party charges, advertising spend, software subscriptions or pass-through costs are excluded unless expressly included in the agreed scope.

07

Intellectual property

GeoLift retains ownership of its pre-existing methodologies, processes, templates, systems, software, know-how, internal documentation and reusable tools. Subject to payment and the agreed scope, you receive the right to use final client-specific deliverables produced for your engagement.

You retain ownership of materials you provide to GeoLift. You grant GeoLift the limited rights needed to use those materials to perform the services.

08

Confidentiality

Each party should protect non-public information received from the other party and use it only for the relevant business purpose. This obligation does not apply to information that is public, independently developed, already lawfully known or required to be disclosed by law.

Where a separate confidentiality agreement applies, its terms will govern to the extent of any conflict.

09

Privacy & data

Information submitted through the website or handled in connection with services is addressed in GeoLift's Privacy Policy. Depending on the engagement, additional data-processing terms or client instructions may apply.

You are responsible for ensuring that information you provide to GeoLift may lawfully be shared and processed for the requested service.

10

Warranties & disclaimers

GeoLift will perform agreed services with reasonable care and professional judgment. Except where expressly stated in a written agreement, services are provided without guarantees of specific rankings, traffic, review volume, lead volume, visibility, platform approval, reinstatement or other business outcomes.

Google and other third parties determine platform rankings, policies, moderation, availability and enforcement. Past experience or examples do not constitute a promise of future results.

11

Limitation of liability

To the maximum extent permitted by applicable law, GeoLift will not be liable for indirect, incidental, special, consequential or unforeseeable losses arising from use of the website or services, including loss of profits, revenue, goodwill, data or business opportunity.

Any liability that cannot lawfully be excluded will be limited to the extent permitted by applicable law and, where legally enforceable, the fees paid to GeoLift for the affected services during the relevant period.

12

Suspension & termination

Either party may end an engagement according to the termination provisions in the applicable commercial agreement. If no specific provision applies, either party may request termination on reasonable written notice, subject to payment for services already performed and any agreed commitments.

GeoLift may suspend or terminate services where continued performance would create legal, security, payment, platform-policy or operational risk, or where required access or cooperation is repeatedly unavailable.

13

Changes & general terms

GeoLift may update these terms from time to time. The version published on this page will show the current effective date. Material changes may also be communicated where appropriate.

If a provision is found unenforceable, the remaining provisions will continue to the extent permitted by law. These terms do not create a partnership, employment relationship, fiduciary relationship or agency relationship beyond the specific services agreed in writing.

Any dispute, governing law, venue or formal notice requirements will be governed by the applicable written agreement between the parties or, where none exists, by applicable law.

14
